1. Acceptance of Terms & Scope
These Terms of Service ("Terms") constitute a legally binding agreement between Wellinovate Ltd. ("Wellinovate," "we," "us") and the hospital, clinic, diagnostic network, healthcare professional, or user ("Customer," "you") accessing the Wellinovate software applications, diagnostic firmware, APIs, and connected clinical infrastructure.
By executing an institutional master service agreement, deploying any Wellinovate diagnostic hardware, or accessing platforms including welliRecord, welliID, WelliCare, or WelliMate, you agree to be bound by these Terms.
2. Clinical Decision Support & Physician Responsibility
Crucial Medical Notice: Wellinovate platforms provide digital health infrastructure, clinical workflow automation, and algorithmic decision support. Wellinovate does not practice medicine. The ultimate responsibility for patient assessment, clinical diagnosis, therapeutic judgment, prescription authorization, and patient management rests exclusively with licensed healthcare practitioners.
Algorithms, risk scoring, drug interaction flags, and predictive alerts surfaced within WelliMate and WelliDiagnostic are assistive tools designed to augment clinician situational awareness. Clinicians must independently verify all algorithmic suggestions against their own physical examination, diagnostic judgment, and institutional standard operating procedures.
3. Authorized Access, Credentials & welliID
Institutional customers must ensure that all accounts provisioned for clinical personnel are authenticated using verified identities:
- Practitioner Credentialing: Facilities must restrict clinical charting, prescription writing, and chart closure privileges exclusively to credentialed, actively licensed medical personnel.
- Multi-Factor Authentication: Account credentials and hardware security tokens must never be shared across shifts or individuals. Every digital signature is cryptographically bound to an individual practitioner profile via
welliID. - Immediate Revocation: Facilities must immediately revoke system access credentials upon departure, suspension, or change of role of any clinical or administrative personnel.
4. Service Level Commitments & Offline Continuity
Healthcare systems demand uncompromised reliability. Wellinovate commits to:
- Target Availability: A 99.95% monthly uptime target for core cloud routing and synchronization services, excluding scheduled preventive maintenance windows announced at least 7 days in advance.
- Offline Resilience: In primary care clinics and secondary facilities with unstable grid connectivity, local Wellinovate edge units continue operating autonomously, storing consult notes, intake vitals, and diagnostic reads in local encrypted queues that sync atomically upon connection recovery.
- Incident Severity Protocol: Critical Sev-1 incidents impacting active patient triage or emergency care workflows trigger 24/7 priority emergency response within 15 minutes.
5. Intellectual Property & Clinical Data Ownership
We maintain a strict separation between software proprietary rights and patient clinical record ownership:
- Customer Health Data: The Customer and individual patients retain all right, title, and ownership interest in their Electronic Health Records, diagnostic imaging, and clinical charts. Wellinovate acquires no proprietary claims to patient health information.
- Wellinovate Technology: The underlying algorithms, user interface designs, design system tokens, firmware, neural models, documentation, and trade secrets remain the exclusive intellectual property of Wellinovate Ltd. and its licensors.
6. Acceptable Use & Patient Safety Safeguards
Users and healthcare institutions agree never to:
- Attempt to reverse-engineer, decompile, or extract firmware from proprietary diagnostic hardware interfaces.
- Bypass or tamper with cryptographic clinical audit logs or timestamp mechanisms.
- Input falsified clinical entries or intentionally manipulate diagnostic telemetry feeds.
- Use the platform outside of its intended regulatory labeling, clinical guidelines, and certified use cases.
7. Limitation of Liability & Indemnity
To the fullest extent permissible by applicable law:
- Wellinovate shall not be liable for indirect, incidental, punitive, or consequential damages arising from clinical outcome disputes, facility power outages, or unauthorized third-party hardware modifications.
- Healthcare institutions agree to indemnify and hold harmless Wellinovate and its directors, officers, and clinical advisory board against third-party claims arising from unauthorized medical practice, malpractice, or credential sharing by their personnel.
8. Governing Law & Dispute Resolution
These Terms shall be construed and governed in accordance with the laws of the jurisdiction specified in the applicable Institutional Service Agreement (defaulting to the Federal Republic of Nigeria for West African regional contracts, and the laws of England & Wales for international enterprise contracts).
Any dispute or claim arising out of or in connection with these Terms shall first be referred to executive mediation, and if unresolved within 30 days, settled by final and binding arbitration under the Rules of the London Court of International Arbitration (LCIA) or the Lagos Court of Arbitration (LCA).
